Terms of Service

These Terms and Conditions (“Terms”) constitute an agreement between you (“User,” “you”) and Strategia Sane Corp. (“Company,” “we,” “us,” or “our”) governing your access to and use of plansane.com and related services (the “Service”).

By accessing or using the Service, you acknowledge that you have read and agree to these Terms and the applicable privacy, acceptable-use, refund and product terms. Mandatory rights that cannot lawfully be excluded remain unaffected.

1. Eligibility and User Accounts

• The Service is intended for users aged 14 and above.
• If you are under the age of majority where you live, you must have any consent required by applicable law.
• You agree to provide accurate account and billing information.
• You are responsible for safeguarding your credentials and for activity under your account, except to the extent caused by our breach of applicable obligations.

2. Plansane Products and Entitlements

Paid access is defined by the Plansane product, offer, catalogue version and any approved institutional quotation applicable to the purchase. Product capacity, seats, collaborator rights, module access, AI allowance and renewal treatment are entitlement terms and are not determined solely by a payment-provider product identifier.

Plansane Plan, Plansane Capital Intelligence and Plansane Portfolio are recurring public products with approved billing cadences. Plansane Plan Pass provides a 90-day term with optional Auto-renew that is off by default. Education and Accelerator & Incubator licences are annual capacity-based products and may use self-service Auto-renew where offered. Institutional Capital Intelligence renewal is governed by quotation and contract.

3. AI-Assisted Features

Copilot and governed Agentic assistance are included capabilities under the applicable product's AI allowance. They are not represented as unlimited AI. Usage allowances, safety controls, evidence requirements, approval steps and fair-use safeguards may limit or pause AI operations without removing the user's ability to continue ordinary manual work available under the product.

AI-assisted outputs may contain errors or require professional review. You remain responsible for reviewing material decisions and for obtaining appropriate legal, tax, accounting, investment or other professional advice where needed.

4. Prices, Taxes and Payment

• Public launch prices are displayed in USD unless otherwise stated.
• Displayed public prices exclude applicable taxes unless a checkout or contract expressly says otherwise.
• Applicable tax may be calculated using billing information and an approved tax-calculation provider. Plansane does not guarantee that a customer is exempt merely because the customer is an educational, accelerator, public-sector or institutional organization.
• Payments may be processed through third-party payment providers such as Stripe. Provider records establish transaction and payment state, while Plansane separately governs product entitlement.
• No additional or overage fee is charged merely because an included AI allowance is reached unless a future purchase is separately offered and accepted.

5. Renewals, Changes and Cancellation

Self-service recurring products renew according to the cadence selected at purchase while Auto-renew is on. You may turn Auto-renew off before the current paid period ends. Doing so normally schedules the subscription to end at that period's end rather than terminating paid access immediately. Where the subscription remains eligible, Auto-renew may be turned back on before the scheduled end.

Plansane Plan Pass has a 90-day paid term and Auto-renew is off by default. If you turn Auto-renew on, it renews for another 90-day term at each renewal until you turn Auto-renew off. Institutional Capital Intelligence renewal remains governed by its quotation and contract rather than the ordinary self-service control.

Product or cadence changes may take effect immediately or at the next renewal depending on the approved change type. Downgrades do not authorize Plansane to permanently delete customer work merely because capacity is reduced; excess work may instead become archived or read-only until the customer selects work that fits the new entitlement.

6. Institutional Licences

Institutional licences may define named learner, venture, staff, case or programme capacity and may restrict reassignment or reuse during the licence term. An approved institutional quotation or contract may also define security, retention, support, payment and tax terms. The signed agreement governs where it validly supplements or overrides these general Terms.

7. User Content, Collaboration and Publishing

You retain responsibility for content and evidence you submit. Access by collaborators, staff, reviewers and publishing recipients is governed by the permissions you or an authorized administrator grant. Published views may be separate controlled representations of the underlying authoritative plan.

8. Intellectual Property Rights

The Plansane platform, software, branding, templates and platform-created intellectual property are owned by Strategia Sane Corp. or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership of the platform to users.

9. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes or to violate another person's rights.
• Share named-user credentials or circumvent seat, plan, AI, storage, automation or institutional-capacity controls.
• Resell or white-label Plansane access unless a written agreement expressly permits it.
• Interfere with platform security, availability, billing, usage measurement or governance controls.
• Submit content or instructions that you are not authorized to use.

10. Third-Party Services

Plansane may integrate payment, email, data or other third-party services. Those providers may process limited information necessary to perform their role under their applicable terms and privacy obligations. Plansane is not responsible for independent third-party services outside our reasonable control.

11. Disclaimers and Professional Decisions

Plansane is a planning and decision-support platform. It does not guarantee business performance, investment, financing, regulatory approval, tax treatment or any particular outcome. Users should obtain appropriate professional advice for material legal, tax, accounting, investment and regulatory decisions.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Strategia Sane Corp. will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Service. Any limitation is subject to rights and liabilities that cannot lawfully be excluded or limited.

13. Suspension and Termination

We may suspend or restrict access where reasonably necessary for security, non-payment, abuse, legal compliance or material breach of these Terms. Billing-state changes do not by themselves authorize permanent deletion of customer work; retention and deletion remain governed separately.

14. Refunds

Refund treatment is governed by our Refund Policy, applicable law and any signed institutional agreement.

15. Governing Law

These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable therein, subject to any mandatory consumer or other rights that apply in the user's jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated or presented as required by applicable law or contract. The version applicable to a transaction remains subject to the purchase and contractual records retained for that transaction.
